Welcome to GRCTAC, a DBA of TechnicaLee LLC ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website grctac.com and our governance, risk, and compliance (GRC) consulting services, including VendorSync and related tools (collectively, the "Services"), designed for small and medium-sized businesses (SMBs). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility

Our Services are intended for business users, specifically SMBs seeking GRC solutions. You must be at least 18 years old to use our Services. By using our Services, you represent that you meet these eligibility requirements and have the authority to enter into these Terms on behalf of your organization, if applicable.

2. Use of Services

2.1 License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes, subject to these Terms.

2.2 Prohibited Conduct

You agree not to:

  • Use the Services for any illegal or unauthorized purpose.

  • Attempt to gain unauthorized access to our systems or networks.

  • Modify, reverse-engineer, or distribute any part of the Services.

  • Use the Services to transmit harmful code, malware, or other destructive content.

  • Misrepresent your identity or provide false information.

2.3 Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at info@grctac.com if you suspect unauthorized use.

3. Fees and Payment

Certain Services may require payment. All fees will be outlined in your agreement with us. You agree to pay all applicable fees promptly. We reserve the right to suspend or terminate access to paid Services for non-payment.

4. Intellectual Property

All content, software, and materials provided through the Services (including VendorSync) are owned by or licensed to TechnicaLee LLC. You may not copy, modify, or distribute any part of the Services without our prior written consent. You retain ownership of any data or content you submit to the Services, but you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process such data to provide and improve the Services.

5. Confidentiality

We will treat your business information (e.g., SOC 2, ISO 27001 data) as confidential and use it solely to provide the Services, in accordance with our Privacy Policy. You agree to treat any proprietary information we share as confidential.

6. Termination

We may suspend or terminate your access to the Services at our discretion if you violate these Terms or for any other lawful reason. You may terminate your use of the Services at any time by discontinuing access or contacting us at info@grctac.com. Upon termination, your license to use the Services ends, but applicable provisions of these Terms (e.g., Intellectual Property, Limitation of Liability) will survive.

7. Disclaimers

The Services are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or meet your specific compliance needs (e.g., SOC 2, ISO 27001).

8. Limitation of Liability

To the maximum extent permitted by law, TechnicaLee LLC, its affiliates, and service providers will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services, including loss of profits, data, or business opportunities. Our total liability will not exceed the fees paid by you for the Services in the preceding 12 months.

9. Indemnification

You agree to indemnify and hold harmless TechnicaLee LLC, its affiliates, and their respective officers, directors, and employees from any claims, damages, or losses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Oklahoma, USA, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved through binding arbitration in Broken Arrow, Oklahoma, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
